Terms of Service Key Summary

By engaging Karan Infosys for software engineering, cloud infrastructure, or managed IT services, you agree to these Terms & Conditions. All custom code and software deliverables become 100% your intellectual property upon full milestone payment. Custom applications include a 90-day post-launch warranty for defect fixes.

01. Definitions

  • "Company," "we," "us" refers to Karan Infosys, registered in Ahmedabad, Gujarat, India.
  • "Client," "you" refers to the organization or individual contracting our software or IT services.
  • "Deliverables" refers to custom code, web applications, mobile apps, database schemas, and documentation produced for the client.
  • "SOW" refers to the Statement of Work defining project scope, timelines, and payment milestones.

02. Scope of Services & SOW

All software engineering, IT consulting, cloud migration, and hardware procurement engagements are governed by an executed Statement of Work (SOW). Any requested out-of-scope feature changes during development will be managed via formal Change Request forms.

04. Intellectual Property (IP) Transfer

100% IP Assignment: Upon full payment of the project invoice, Karan Infosys assigns all copyrights, source code ownership, and patent rights of custom deliverables entirely to the Client.

05. Confidentiality & NDA Obligations

Both parties agree to hold all proprietary trade secrets, business strategies, source code repositories, and user data in strict confidence. Confidentiality obligations survive agreement termination for 3 years.

06. 90-Day Post-Launch Bug Warranty

All custom software engineering deliverables include a complimentary 90-day warranty commencing upon production deployment. Any critical bug or code defect identified within this period will be resolved at zero additional charge.

07. Limitation of Liability

To the maximum extent permitted under applicable law, Karan Infosys’ total liability for any claim arising from a project shall not exceed the total fees paid by the client in the 12 months preceding the claim.

08. Contract Termination

Either party may terminate an active agreement with 30 days written notice. In the event of early termination, the client shall pay for all completed milestones and work in progress up to the termination date.

09. Force Majeure

Neither party will be held liable for performance delays caused by events beyond reasonable control, including natural disasters, acts of government, global network outages, or cyber attacks.

10. Governing Law & Legal Dispute Resolution

These Terms & Conditions are governed by the laws of India. Any legal disputes shall be subject to the exclusive jurisdiction of the competent courts in Ahmedabad, Gujarat, India.
